Terms & Conditions
The Application and Contract for Space (the Contract) by and between the MFAA and the exhibiting company (Exhibitor) governs Exhibitor’s rental use of exhibit space in the ExpoMart area at the MFAA 2010 National Convention.

By signing the Contract, the Exhibitor agrees to comply with the terms and conditions set forth below. The Contract shall become binding upon acceptance by an authorised representative for the MFAA.

ExpoMart Site & Time: The MFAA ExpoMart is to be held on 19-21 May at the Melbourne Convention & Exhibition Centre. MFAA reserves the right, at its sole discretion to change the site, hours or dates. MFAA will notify the Exhibitor of any such changes as far in advance as possible.

Applications: All applications for exhibit space at the ExpoMart must be made on the Online Application & Contract Form. An authorised representative of the MFAA will return a confirmation letter via email to the Exhibitor upon acceptance of the Contract.

ExpoMart Space Allocation: The MFAA will assign exhibit space in the order in which Contracts are received. If Exhibitor’s choices of exhibit space are not available, the MFAA will attempt to assign what it considers to be the best available remaining space. The MFAA reserves the right, at its sole discretion to designate exhibit space or make changes in the location, size, layout arrangement and display limits of the exhibit space.

Exhibit Space Rental Fee: The exhibit space rental fee per ExpoMart booth will be as designated on the Application section of the Contract. The rental fee per ExpoMart booth includes booth space, company identification, one standard power point and two spotlights. All other expenses are the responsibility of the Exhibitor.

Payment: Payment of the rental fee will be made by direct deposit, credit card or cheque. All cheques are to be made payable to MFAA marked not negotiable payee only. Credit card payments will attract a 3% merchant fee. Payment for ExpoMart booths must be received within 7 days of receipt of stand confirmation.

Cancellation by Exhibitor: In the event the Exhibitor wishes to cancel all or part of the exhibit space, the Exhibitor must send notice of cancellation in writing to;

Where cancellation occurs before 23 March 2010, 50% of the fee will be refunded. If the Exhibitor cancels after 24 March 2010 the Exhibitor will be liable for 100% of the total cost of the rental fee. In the event of cancellation by the Exhibitor all inclusions will be forfeited and the MFAA will have the right to use such space or rent such space to another exhibitor. Reletting by the MFAA of an Exhibitor’s cancelled space will not act to excuse the Exhibitor from payment of any fees included hereunder.

Cancellation by the MFAA: The MFAA reserves the right to cancel the ExpoMart or to terminate this contract for any reason at any time upon written notice to the Exhibitor. Upon cancellation or termination by the MFAA, the MFAA’s sole liability to the Exhibitor, and Exhibitor’s exclusive remedy, shall be a refund of any rental fees paid by the Exhibitor under this contract.

Force Majeure: The MFAA shall not be responsible for any loss or damage resulting from failure to perform under this Contract or to conduct the MFAA ExpoMart as currently scheduled in whole or part as a result of riot, strike, civil disorder, act of war or terrorism, failure of facilities, earthquake, storm, fire, flood or other Acts of God, or any reason of any kind whatsoever beyond the reasonable control of the MFAA. In such instance, however, the MFAA will make reasonable efforts to reschedule the MFAA ExpoMart. Notwithstanding any other terms or conditions of this contract, should it ultimately be impossible to hold the MFAA ExpoMart for any of the foregoing reasons, the MFAA may retain or will be due such portion of the Exhibitors rental fee as will be required to compensate the MFAA for expenses reasonably incurred up to the time a contingency beyond its contract shall have occurred. All payments in excess of such expenses will be refunded.

Installation & Dismantle: Exhibitor will be provided reasonable time to erect and dismantle its exhibit as will be specified in the Exhibitor information. Failure to erect and dismantle the exhibit in the timeframe provided will incur a penalty of $1,000.00. Exhibit materials not removed from the exhibition area by the Exhibitor as specified will be removed by the venue and treated as rubbish.

Stand Design & Height Restrictions: The Exhibitor must submit its proposed design for its stand to MFAA on or before 1 April 2010. The MFAA may approve, modify or reject entirely or in part the proposed design at its sole discretion. The MFAA ExpoMart Manager and the Melbourne Convention & Exhibition Centre must approve any structures that exceed 2.5 metres in height including signs, lighting, displays, etc. The maximum height allowed is 6.0 metres. Approval must be sought from the MFAA for all banners rigged from the ceiling above the allocated exhibition space.

Use of Space: Exhibitors may not sublet, assign or apportion any part of the space contracted for herein, nor represent, advertise, distribute literature for, or otherwise promote the products or services of any other firm or individual except as approved in writing by the MFAA. Exhibitor may not exhibit outside the confines of its assigned booth space. The Exhibitor agrees that its use of the space will not interfere with or disrupt another exhibit, impede access to another exhibit, use the space of another exhibit or interfere with the free use of the aisle in front of any exhibit.

Conduct of Exhibit: Exhibitor shall conduct its exhibit in a decorous manner in order not to be objectionable to the MFAA, other exhibitors, the Convention Centre or the public. The MFAA reserves the right to restrict or prohibit exhibits which, because of noise, method of operation, content or any other reason, are objectionable or otherwise detract from or are out of keeping with the character of the MFAA. The Exhibitor is prohibited from
holding functions, sessions or any marketing event at the same time that presentations, events or functions at the MFAA 2010 National Convention are being held.

ExpoMart Badges: Exhibitor personnel must wear identification badges at all times while on the exhibit floor. Replacement names badges will incur a charge of $50 each.

Stand Promotional Activities: The Exhibitor must submit its completed Summary of Exhibition Booth Activities Form to MFAA on or before 21 April 2010. Distribution of giveaways and promotional items is permitted, provided there is no interference with other exhibits and may only be distributed from your booth. The MFAA may withdraw items that it considers objectionable or breach Fair Trading or other laws. Applications for Gaming Activities (including prize draws) and service of food and beverage must be made in writing on the Summary of Exhibition Booth Activities Form. MFAA may not allow activities or food and beverage which may conflict or compete with similar activities to be conducted by the MFAA at the 2010 National Convention. The Exhibitor acknowledges that the running of gaming activities and service of food and beverage is run entirely at the Exhibitor’s risk and with the appropriate permits and OH&S requirements.

Liability & Insurance: Neither the MFAA, nor the Convention Centre will be liable for any damage, injury or loss to Exhibitor’s properties, persons conducting or otherwise participating in the conduct of the exhibit, or invitees to Exhibitor’s exhibit where such damage, injury or loss does not arise solely from the gross negligence or intentional misconduct of the MFAA. It is strongly recommended that each Exhibitor take out its own insurance.

Other Rules & Regulations: Exhibitor will comply with all fire laws, electrical codes and all other applicable rules, regulations, codes or statutes with respect to the installation, conduct and disassembly of its exhibit, including OH&S. Exhibitor will also comply with all reasonable requests of the MFAA and Convention Centre staff with respect to the installation, conduct and disassembly of its exhibit.

Entire Agreement: The Contract constitutes the complete agreement between the parties and supersedes all prior contemporaneous agreements or representations, written or oral, concerning the subject matter hereof. This Contract may not be modified or amended except in writing signed by a duly authorised representative of each signing party.
